Terms of Service
These Terms of Service explain the rules and conditions that apply when
you access jorvale.com, create an account, purchase or subscribe to a
managed automation plan, request workflow assistance, connect supported
business systems, or otherwise use services provided by JORVALE, LLC.
1. Agreement to These Terms
By accessing jorvale.com, creating an account, submitting an enquiry,
purchasing a service, starting a subscription, or using our managed
automation services, you agree to be bound by these Terms of Service.
These Terms should be read together with our
Privacy Policy,
Cookie Policy,
Refund & Cancellation Policy,
and
Acceptable Use Policy.
If you do not agree with these Terms, you must not purchase, subscribe
to, access, or use our services.
2. About JORVALE and Our Services
JORVALE is the automation service brand operated by
JORVALE, LLC through jorvale.com.
JORVALE, LLC provides managed business automation services designed to
reduce repetitive work, connect business applications, process
information, and maintain reliable automated workflows.
Depending on the selected service or subscription plan, our services may
include managed workflows, workflow design, AI-assisted processing,
application integrations, API connections, webhook connections, data
processing, monthly process capacity, workflow testing, execution
monitoring, error monitoring, and technical support.
Our services are provided electronically and remotely. Unless expressly
stated otherwise, JORVALE, LLC does not sell or deliver physical goods
through jorvale.com.

3. Eligibility and Authority
You must have the legal capacity to enter into a binding agreement in
your jurisdiction before purchasing or subscribing to our services.
If you purchase or use a service on behalf of a company, organisation,
or other business, you confirm that you have authority to accept these
Terms and enter into the relevant agreement on its behalf.
You are responsible for ensuring that your use of our automation
services, connected applications, business information, and workflow
activities complies with the laws, regulations, contractual
requirements, and third-party platform rules applicable to you.
4. Customer Accounts and Information
You may be required to provide your name, email address, billing
information, company information, workflow requirements, connected
application information, and other details when purchasing or using a
service.
All information provided to JORVALE, LLC must be accurate, complete,
current, and not misleading.
You must notify us or update relevant information if it changes during
an active subscription or service period.
You are responsible for maintaining the security and confidentiality of
your customer account, passwords, API credentials, access tokens,
webhook information, integration credentials, and other access details
under your control.
Where a connected application supports restricted, temporary, role-based,
or limited permissions, customers should grant only the access reasonably
required for the requested workflow.
5. Service and Plan Descriptions
We make reasonable efforts to describe our automation services,
subscription plans, workflow limits, monthly processing capacity,
integrations, support levels, pricing, and included features accurately.
The exact configuration of an automation may depend on the customer’s
workflow requirements, connected applications, available APIs, data
structure, third-party platform capabilities, and technical conditions.
Workflow examples and explanations shown on jorvale.com illustrate how our
services may operate but do not guarantee that every application,
integration, feature, or workflow configuration will be available in
every situation.

Only the services, workflow capacity, integrations, support, and other
features expressly included in the selected plan, service page,
quotation, order confirmation, or written agreement form part of the
purchased service.
6. Orders and Contract Formation
Submitting an order or subscription through jorvale.com constitutes an
offer to purchase the selected service or automation plan.
An order is not considered accepted until payment has been authorised,
any information reasonably required to begin the service has been
received, and we have issued an order confirmation or otherwise
confirmed that the service will proceed.
We may reject, cancel, suspend, or request clarification regarding an
order where payment cannot be verified, required information is missing,
the requested integration is unavailable, the requested activity is
outside the purchased scope, or the activity presents legal, security,
technical, operational, or third-party platform concerns.
7. Pricing, Currency, and Taxes
Prices are displayed in United States dollars unless another currency is
clearly shown during checkout or in a written quotation.
The amount charged will correspond to the service or subscription plan
selected at checkout, subject to any separately agreed adjustments,
upgrades, or additional services.
We may change prices for future purchases or future subscription periods.
Any change to recurring pricing will be handled in accordance with
applicable law and any notice requirements that apply.
Customers are responsible for applicable taxes, currency conversion
charges, international transaction charges, bank fees, or other charges
imposed by their bank, payment provider, or applicable authority unless
expressly stated otherwise.
8. Payments and Recurring Subscriptions
Payments may be processed through Stripe, PayPal, or another payment
method displayed during checkout.
Payment providers operate independently under their own terms, security
procedures, and privacy notices.
Unless otherwise stated, payment is required before the applicable
service period begins or before substantial workflow setup work begins.
Where a service is described as a monthly or recurring subscription, the
selected payment method may be charged automatically at the stated
billing interval until the subscription is cancelled or otherwise ends.
A recurring subscription may provide access to a defined number of
managed workflows, monthly process capacity, integrations, AI-assisted
processing, monitoring, and support according to the selected plan.
Cancellation and refund conditions are explained in our
Refund & Cancellation Policy.
9. Service Activation and Delivery
Our services may be delivered through configured workflows,
integrations, account setup, AI-assisted processing, API or webhook
connections, workflow monitoring, technical support, reports,
communications, or other electronic methods appropriate to the
purchased service.
Service activation may require customer information, workflow
requirements, account permissions, application access, integration
credentials, or clarification of the intended process.
Any implementation or activation timeframe shown on jorvale.com is an
estimate unless expressly agreed in writing as a fixed deadline.
Service activation may be delayed if information, access, payment
verification, approvals, third-party systems, APIs, or other resources
reasonably required for the workflow are unavailable.
10. Subscription Capacity and Usage
Each subscription plan may include limits relating to active workflows,
monthly processes, integrations, support, or other service capacity.
Customers are responsible for selecting a plan appropriate for their
expected workflow requirements and processing volume.
Usage in excess of the limits included in a selected plan may require a
plan upgrade, additional service capacity, additional fees, or a
separately agreed arrangement.
Monthly process capacity generally applies to the relevant billing period
and does not automatically carry forward to a future billing period unless
expressly stated in the applicable plan.
We may contact customers when usage approaches or exceeds applicable
service limits so that an appropriate plan or service adjustment can be
discussed.
11. Managed Workflow Scope
Each automation is limited to the workflow, applications, integrations,
processing requirements, and support included in the applicable service
or subscription plan.
The agreed scope may be documented through a service page, quotation,
order confirmation, email, workflow description, requirements document,
or other written communication.
Additional workflows, additional applications, major workflow redesigns,
increased processing capacity, custom integrations, additional AI
processing, or work outside the existing scope may require a plan change,
additional fee, or separate order.

12. Customer Materials and Responsibilities
Customers must provide information, data, account permissions,
application details, workflow requirements, approvals, credentials,
documentation, and feedback reasonably required for the selected service.
You confirm that you own, control, or have lawful permission to use and
provide any business information, customer data, documents, files,
account information, application access, API access, or other materials
supplied to us or processed through your workflows.
Customers remain responsible for the accuracy, legality, and quality of
information supplied to or processed through their automation.
We are not responsible for errors or failures caused by inaccurate,
incomplete, corrupted, outdated, unlawfully supplied, or improperly
formatted customer information.
Customers should maintain appropriate backups of important business
information and should not rely on an automation workflow as the sole
storage location for critical records.
13. Service Timing, Availability, and Delays
Workflow setup, integration, testing, and support timelines depend on
the complexity of the automation and the availability of required
information and third-party systems.
Delivery or workflow implementation may be delayed where customer
information is missing, requested access is unavailable, requirements
change, additional work is requested, third-party services experience
outages, APIs change, or circumstances arise outside our reasonable
control.
If a customer does not provide information, access, approvals, or
responses reasonably required for an extended period, we may pause the
affected setup or support work until the necessary information is
received.
Recurring subscription charges may continue according to the applicable
billing arrangement unless the subscription is cancelled or another
arrangement is confirmed in writing.
14. Workflow Changes, Testing, and Acceptance
Workflow adjustments included in a service are limited to the scope
reasonably associated with the purchased plan or agreed workflow.
New workflows, major changes to workflow logic, new integrations,
additional applications, substantially different processing
requirements, or expanded monthly capacity may constitute additional
work.
We may test workflows using expected scenarios before or during
activation, but customers remain responsible for reviewing workflow
outputs and confirming that the automation is appropriate for their
business use.
Customers should notify us promptly if they identify a material problem
with a workflow that is covered by their active service or support plan.
15. Third-Party Applications and Integrations
Our automation services may connect with independent third-party
applications, APIs, AI services, cloud platforms, databases,
communication tools, CRM systems, productivity applications, payment
platforms, and other business systems.
Third parties control their own availability, pricing, account
requirements, API access, rate limits, functionality, security,
licences, policies, technical changes, and privacy practices.
JORVALE, LLC does not control and cannot guarantee the continued
availability or unchanged functionality of an independent third-party
application or API.
If a third-party provider changes or removes functionality used by a
workflow, changes to the automation may be required.
Customers are responsible for third-party subscriptions, API fees,
software fees, account costs, and other external charges unless those
costs are expressly included in the purchased service.
16. AI-Assisted Processing
Certain workflows may use artificial intelligence services for tasks
such as information extraction, classification, summarisation, content
transformation, routing, analysis, or structured data generation.
AI-assisted outputs may contain errors, omissions, or unexpected results
and should be reviewed where accuracy is important.
Customers should not rely solely on AI-generated output for significant
legal, financial, medical, employment, safety, or other consequential
decisions without appropriate independent review.
Customers are responsible for ensuring that information submitted to
AI-enabled workflows may lawfully be processed for the intended purpose.
17. Support and Communications
Support is provided according to the scope and support level included in
the customer’s selected service or subscription plan.
Support may include workflow monitoring, execution review,
troubleshooting, error investigation, integration assistance,
clarification of workflow behaviour, and other reasonable technical
assistance related to active services.
Support does not automatically include unrelated systems, new workflows,
major redesigns, new integrations, third-party account administration,
or work outside the purchased service scope.
We may communicate with customers by email, website notice, account
message, phone, or other contact information provided during checkout or
service setup.
Our standard support hours are Monday through Friday,
9:00 AM–6:00 PM, U.S. Eastern Time (ET), unless otherwise stated.
18. Refunds and Cancellations
Our services involve managed automation, workflow setup, processing,
integration, monitoring, and technical work. Refund eligibility may
therefore depend on whether work has started and how much of the
purchased service has already been provided.
Customers may request cancellation of an eligible recurring subscription
in accordance with our
Refund & Cancellation Policy.
Where a refund request qualifies for a full or partial refund, applicable
refund processing periods and requirements are described in that Policy.
Nothing in these Terms excludes or limits a consumer right or remedy that
cannot lawfully be excluded or restricted.
19. Intellectual Property
JORVALE, LLC and its licensors retain ownership of intellectual property
associated with jorvale.com, the JORVALE brand, original website content,
workflow methods, reusable workflow components, internal tools,
documentation, service processes, templates, automation structures, and
other pre-existing materials.
Customers retain ownership of their own business data, branding,
documents, application accounts, customer materials, and other
information lawfully provided to us.
Unless a written agreement expressly states otherwise, payment for a
managed automation service does not transfer ownership of JORVALE, LLC‘s
general workflow methods, internal systems, reusable automation
components, templates, technical knowledge, or pre-existing intellectual
property.
Customers may use completed customer-specific workflow outputs and
service results for their own lawful business operations subject to these
Terms and any applicable third-party rights.
20. Acceptable Use, Suspension, and Termination
Customers must not use jorvale.com, our automation services, connected
workflows, APIs, integrations, or support services for unlawful,
fraudulent, deceptive, abusive, malicious, infringing, or unauthorised
purposes.
Customers must not intentionally configure or request workflows designed
to gain unauthorised access to third-party systems, defeat legitimate
security measures, interfere with services, distribute malicious code,
or process information in violation of applicable law.

We may refuse service, suspend an affected workflow, limit access, pause
work, or terminate an agreement where payment is overdue, these Terms
are materially violated, unlawful activity is reasonably suspected, a
third-party provider requires suspension, or continued operation creates
a material legal, security, or operational risk.
Termination does not remove payment obligations that arose before the
applicable termination date.
21. Disclaimers and Limitation of Liability
JORVALE, LLC will provide its services with reasonable care and skill and
will make reasonable efforts to configure and support workflows according
to the purchased service scope.
Automation depends on software, networks, APIs, third-party services,
customer data, credentials, integration availability, and other technical
systems that may change or experience interruptions.
Except for obligations that cannot lawfully be excluded, we do not
guarantee uninterrupted workflow operation, continuous third-party
availability, error-free AI output, uninterrupted API access, or any
specific increase in revenue, productivity, profitability, savings, or
other business result.
To the maximum extent permitted by applicable law, JORVALE, LLC will not be
liable for indirect, incidental, special, or consequential losses,
including loss of profits, loss of opportunity, loss of expected savings,
or loss resulting from third-party outages, API changes, inaccurate
customer information, unauthorised customer changes, or circumstances
outside our reasonable control.
Customers remain responsible for reviewing important workflow outputs,
maintaining appropriate business continuity procedures, protecting
account credentials, and maintaining appropriate backups of important
information.
Nothing in these Terms excludes or limits liability or legal rights that
cannot lawfully be excluded or limited.
22. Governing Law and Jurisdiction
These Terms, and any dispute, claim, or controversy arising out of or
relating to these Terms, jorvale.com, a subscription, an order, a managed
workflow, or any service provided by JORVALE, LLC, will be governed by and
interpreted in accordance with the laws of the
State of Wisconsin, United States, without regard to
conflict-of-law principles.
To the maximum extent permitted by applicable law, any legal action,
claim, or proceeding arising out of or relating to these Terms or our
services shall be brought in the
Waukesha County Circuit Court, Wisconsin, or, where
federal subject-matter jurisdiction exists, in the
United States District Court for the Eastern District of
Wisconsin, Milwaukee Division.
Each party consents to the personal jurisdiction and venue of those
courts for disputes subject to this provision.
The parties acknowledge that JORVALE, LLC‘s relevant business location for
purposes of this jurisdiction provision is in
Delafield, Wisconsin 53018, United States.
Nothing in this section is intended to deprive a consumer of any
mandatory protection, remedy, or right to bring a claim in another
jurisdiction where such a right cannot lawfully be waived or restricted.
23. Changes to These Terms
We may update these Terms when our subscription plans, automation
services, workflow capabilities, integrations, AI functionality, payment
methods, technology providers, legal obligations, or business practices
change.
Updated Terms will be posted on jorvale.com.
Where required or appropriate, material changes may also be communicated
through the website, customer account, email, or another reasonable
method.
